Hankyu Hanshin Properties Corp., OS Co., Ltd., and OS Real Estate Co., Ltd. have agreed to a management integration, effective October 1, 2026 (Thu), and we hereby announce this. As a core company responsible for the real estate business within the Hankyu Hanshin Holdings Group, we have contributed to creating attractive railway lines and communities by proposing rich lifestyles to people, leveraging our expertise in urban development rooted in value creation along the Hankyu and Hanshin lines. Meanwhile, the OS Group has developed businesses including its ancestral film business, real estate leasing-related businesses centered on the "OS Building" in the Osaka/Umeda area, area management and solutions-related businesses, and food and service-related businesses. Through the management integration of Hankyu Hanshin Properties Corp., OS Co., Ltd., and OS Real Estate Co., Ltd., we will centralize the operation and management of leased properties, improve management efficiency, and further enhance the presence of "Hankyu Hanshin" by jointly addressing and strengthening area management, particularly in the Osaka Umeda area. This will establish a structure to achieve these goals. This management integration is intended to forge a path into a new era by bringing together the strengths of know-how, customer base, and human resources cultivated by the three companies to date, under an equal partnership. Through this management integration, we aim to establish market leadership, achieve sustainable growth and maximize corporate value, thereby creating even greater value. ■ Overview of Management Integration (1) Form of Integration - Hankyu Hanshin Properties Corp. will absorb and merge OS Co., Ltd. and OS Real Estate Co., Ltd. - OS Kyoei Building Management Co., Ltd., a subsidiary of OS Co., Ltd., will become a subsidiary of Hankyu Hanshin Properties Corp. on the same day (October 1, 2026 (Thu)). (2) Main Businesses to be Transferred from OS Co., Ltd. and OS Real Estate Co.,
