Plus Corporation (Minato-ku, Tokyo; President and CEO: Tadahisa Imaizumi) today announces that it will transfer part of its stationery overseas manufacturing and sales business to its consolidated subsidiary, Astrum Co., Ltd. (Chuo-ku, Tokyo; President and CEO: Junichi Ishigaki; hereinafter referred to as "Astrum") via an absorption-type split. Astrum will issue new shares to Plus Corporation as consideration. This transfer is being carried out as part of the phased integration of the Plus Group's stationery business through 2028, as announced by Plus Corporation and Astrum on March 17, 2026. As a result of this transfer, two of Plus Corporation's overseas consolidated subsidiaries in Vietnam and Taiwan will become consolidated subsidiaries of Astrum, and the business will be developed under a new structure going forward. Furthermore, the assets to be transferred to Astrum through this absorption-type split are the entirety of the shares held by Plus Corporation in its overseas subsidiaries, PLUS VIETNAM INDUSTRIAL CO.,LTD. and Taiwan Plus Corporation Limited.
